Derbyshire Army Cadet Association Constitution

Introduction

  1. The Derbyshire Army Cadets Association is hereinafter referred to at the ‘Association’, with the acronym DACA.
  2. The Association office address is: DACA, c/o Army Reserve Centre, Sinfin Lane, Derby DE24 9GL.

Objects

The Objects of the Association are:

  1. To promote, among individuals and businesses in Derbyshire, a lively interest in and support for the Derbyshire Army Cadet Force (DACF).
  2. To foster an esprit-de-corps and comradeship among former Derbyshire cadets and cadet force adult volunteers (CFAV);
  3. To raise funds to enable the DACF to take part in activities with the Charter and syllabus on the Army Cadet Force, for which sufficient funds are not otherwise available.
  4. To give other such forms of support to the DACF as may be required (e.g. the recruitment of CFAVs).

Membership

  1. Membership of the Association is from year to year, the year being 1 April to the following 31 March, and will be at the complete discretion of the Association Committee.
  2. Full Membership. Full Membership is open to those who have served with DACF; former cadets over the age of eighteen years and former CFAVs.
  3. Associate Membership. Associate Membership is open to any spouse or partner of a full member. It may also be offered to members of the Regular or Reserve Forces or friends who support DACF. Individuals for Associate Membership are to be proposed by Full Members for consideration by the Association Committee. Associate Members will pay membership fees but have no voting rights.
  4. Honorary Membership. The Association Committee may elect Honorary Members who have provided distinguished support to DACF in general and to the Association in particular. Honorary Members are not required to pay membership fees and have no voting rights.
  5. Membership Fees. Full and Associate Members will pay an annual subscription fee determined by the Association Committee.

Membership Responsibilities.

  1. As a condition to membership, every member shall be bound by the conditions set out in the Constitution and by any modifications thereof and shall be bound not to do anything likely to bring the Association or DACF into disrepute.
  2. Every member is bound to accept as final and binding the decision of the Association Committee in all cases of dispute or disagreement as to the interpretation of this Constitution or any other Association rules. Every member shall be entitled to receive a copy of the Constitution of the Association.
  3. Anyone ceasing to be a member of the Association shall thereupon cease to have any claim upon the property of the Association or to enjoy any of the privileges of membership, but will remain liable for payment of any debts due to the Association.
  4. No claim of any kind whatsoever shall arise against the Association or any member thereof or against the Association Committee or against the DACF by reason of any decision or action by the Association Committee or any member thereof.

Termination of Membership.

  1. Membership of the Association comes to an end if:
    the member dies or
    the member gives notice of resignation to the Association Committee or
  2. any money owed by the member to the Association is not paid in full within six months of its falling due, unless the Association Committee decides otherwise; the member may be re-admitted on payment in full of the sum due; or
    the member is removed from membership by a resolution passed at a duly constituted meeting of the Association Committee by a majority of not less than two-thirds of the Committee members present and voting that it is in the best interests of the Association that membership is terminated. A resolution to terminate a membership may only be passed if:
  3. the member has been given at least twenty-one clear days’ notice in writing of the meeting of the Association Committee at which the resolution will be proposed and the reasons why it is to be proposed; and
  4. the member or the member’s representative has been allowed to make oral or written representations to the meeting, which are considered at that meeting.

President

  1. The President shall be invited by the Association Committee and elected annually at the Annual General Meeting.

The Association Committee

  1. The Constitution of the Association will be upheld by an Association Committee that will manage the affairs of the Association.
  2. Every Committee member must be a member of the Association.
  3. Each Committee member shall perform Committee functions in the way that, decided in good faith, would be most likely to further the purpose of the Association.

Members.

  1. Members of the Association Committee, who will be elected annually at the Annual General Meeting, are:
    1. Chairman;
    2. Vice-Chairman;
    3. Secretary;
    4. Treasurer;
    5. Website / Marketing Member;
    6. Fund Raising Member;
    7. Events member;
    8. Association Full Member;
    9. Association Full Member.
  2. The Commandant of DACF will nominate a serving CFAV to represent him at Committee meetings.

Quorum.

The quorum of the Association Committee shall be 5.

Meetings.

The Chairman and Committee members shall have the power to decide the dates of meetings.

Annual General Meeting.

The Annual General Meeting of the Association shall be held at such time and place as directed by the Association Committee. A minimum of 28 days notice shall be given to all Association members. Any member entitled to vote may submit a resolution in writing to the Secretary at least 14 days before the date of the Meeting.

Sub-Committees.

The Association Committee may from time to time delegate powers for specific activities to sub-committees, formed of members of the Association Committee or other full members of the Association.

Termination of Membership of the Association Committee.

A Committee member ceases to hold office if he or she:

  1. dies;
  2. ceases to be a member of the Association;
  3. becomes incapable by reason of health or fitness of managing and administering his or her own affairs;
  4. retires by notifying the Association Committee in writing;
  5. is absent from three consecutive Committee meetings, and the Committee resolves that Committee membership shall cease.

Property and Finance 

  1. The financial year for the Association’s affairs shall be from 1st April to 31st March.
  2. Fund. ‘The DACF Association Fund’ shall provide a financial resource for the benefit of DACF and members of the Association.
    1. Fund Charter. The Association Committee shall maintain a Fund Charter for the management of the fund.
    2. Fund Manager. The fund manager shall be the Association Treasurer.

Dissolution

  1. In the event of the Association ceasing to exist, the balance of its assets, after meeting all liabilities, shall be given to DACF.
